Please read these “Terms and Conditions” carefully before using our software-as-a-service (SaaS) point-of-sale platform, websites, mobile applications, and related services. By accessing or using our Service, registering an account, or processing transactions through the Platform, you (“Merchant,” “Customer,” or “User”) agree to be bound by these Terms.

 

1. Description of Service

ROCKG provides cloud-based Point of Sale (POS) software, inventory management, customer management, reporting tools, and payment integration capabilities designed to assist merchants in managing retail and business transactions.

 

2. Eligibility & Account Registration

  1. Business Use Only: The Service is intended exclusively for lawful business and commercial use.
  2. Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify us immediately at [Support Email] of any unauthorized access or security breach.
  3. Accurate Information: You agree to provide accurate, current, and complete registration information, including your business legal name, physical business address, and taxpayer identification details.

 

3. Subscription, Billing, and Payment Terms

  1. Subscription Plans: Access to the Service is provided on a subscription basis (e.g., monthly or annually) according to the plan selected during registration.
  2. Recurring Billing: By subscribing to the Platform, you authorize us (or our third-party payment processor) to automatically charge your designated payment method at the beginning of each billing cycle for recurring subscription fees, applicable add-ons, and sales taxes.
  3. Fee Changes: We reserve the right to modify subscription pricing upon at least thirty (30) days’ advance notice to you. Continued use of the Service after the price adjustment takes effect constitutes agreement to the new pricing.
  4. Taxes: All fees are exclusive of applicable national, state, or local taxes (such as Sales Tax, GST, or VAT). You are responsible for paying all taxes associated with your subscription.

 

4. Payment Gateway & Third-Party Services

  1. Integration: The Platform allows integration with third-party payment gateways, payment processors, and hardware vendors.
  2. Third-Party Terms: Your use of third-party payment gateways is subject to the terms, conditions, and privacy policies of those respective providers. We do not control and are not responsible for the approval, processing, funds settlement, chargebacks, or downtime of third-party payment processors.
  3. Processing Fees: Gateway and card-processing fees are distinct from your [Your Platform Name] subscription fees and are set by your payment processing partner.

 

5. Merchant Responsibilities and Compliance

  1. PCI-DSS & Security: You agree to maintain compliance with all applicable Payment Card Industry Data Security Standards (PCI-DSS) and applicable local privacy regulations regarding the handling of customer cardholder data.
  2. Lawful Transactions: You agree not to use the Service for any unlawful, illegal, or prohibited sales or transactions.
  3. Prohibited Products: You agree not to process payments for items prohibited by applicable card network (Visa, Mastercard, AMEX) guidelines or payment gateway restrictions.

 

6. Service Level, Availability, and Data Backup

  1. Uptime: We strive to maintain maximum software availability, but we do not guarantee uninterrupted, error-free, or 100% uptime of the Service.
  2. Maintenance: Scheduled maintenance or emergency upgrades may temporarily disrupt access to the Platform.
  3. Data Backups: While we implement regular system backups, you are solely responsible for maintaining secondary backups of your business data, sales logs, and inventory records.

 

7. Intellectual Property & Data Ownership

  1. Platform Ownership: We retain all rights, title, and interest (including all copyright, trademark, and software patent rights) in and to the Platform and its source code.
  2. Merchant Data: You retain full ownership of all transaction data, customer records, inventory information, and business records uploaded or generated by you (“Merchant Data”). You grant us a non-exclusive license to use, store, and process Merchant Data solely to provide and improve the Service.

 

8. Limitation of Liability and Disclaimers

  1. AS-IS Disclaimer: THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  2. Limitation of Damages: IN NO EVENT SHALL ROCKG, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
  3. Liability Cap: OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SUBSCRIPTION IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
